By-Laws FY 2002-2003
ARTICLE I: NAME The name of this organization shall be Gettin' Off 4-Wheel Drive Club.
ARTICLE II: PURPOSES AND AIMS This organization shall be non-profit in character, bringing together and promoting the interest of family 4-wheeling as well as enjoying our country's natural resources. This organization shall be a member of the California Association of Four Wheel Drive Clubs, Inc. (CA4WDC) and abide by its by-laws and procedures.
ARTICLE III: MEMBERSHIP AND DUES 1) Membership is open to owners of 4 wheel drive vehicles, who have participated in at least 2 club runs and attended 3 club meetings within a period of six months. Membership is by invitation only, such invitation to be approved by a majority of the members at a monthly club meeting. No notice shall be required for this vote. 2) On admission to membership, new members shall pay an initiation fee of $25, which shall entitle them to one Club decal and one Club T-shirt. The Board of Directors may increase this fee if the cost of T-shirts exceeds $16 or if the cost of decals exceeds $7. 3) Dues for this organization shall be $15.00. Members shall also be members of CA4WDC and can register through the clubs membership. 4) Dues for the Club and the CA4WDC shall be due and payable by the yearly June meeting. To remain a member in good standing, a club member must pay his/her dues within 30 days of the due date or voting rights will be suspended. Members not complying with this rule will be notified of their membership default by letter. Members who have not paid their dues within 60 days of the due date will have their membership terminated. 5) Immediate family members (spouse or other partner and dependent children) shall have all the rights of the member to participate in club activities, but shall not be eligible to vote. 6) The minimum age for members is 18 years (or any higher minimum set by CA4WDC By-Laws). Each member must have a valid driver's license and have liability insurance coverage. 7) Roll bars are mandatory in soft-top vehicles. Seat belts for all occupants are mandatory and must be worn. 8) All members must conduct themselves in a responsible, respectable and orderly fashion at ALL times. Any undesirable behavior may result in a vote for expulsion from the club.
ARTICLE IV: OFFICERS AND DUTIES 1) The officers of the club shall be the President, Vice President, Secretary, Treasurer and Delegate. Any of these offices may be assisted by other club members by request. Officers cannot serve more than two consecutive terms in the same office. The Treasurer shall not be married to or living in the same household as any other officer. 2) The President shall be the executive officer and will preside at all meetings. He/she shall have the duty of carrying out the policies and decisions of the members. He/she shall appoint committees as necessary. 3) The Vice-President shall assist the President and act on his/her behalf in case of the President's absence. He will also act as the safety chair and process membership applications, keep attendance records, and maintain a current roster and mailing list. 4) The Secretary shall record all minutes of the meetings, maintain the club records, write any correspondence as directed, and publish the meeting agendas, if required. 5) The Treasurer shall receive all club monies; be responsible for the bank deposits; disburse funds as authorized by the club membership; and have the books open for inspection by any club members and give a quarterly report. This position may be combined with the Secretary position. 6) The Delegate shall attend all meetings of the district of CA4WDC of which the Club is a member, and shall make a report to the membership. He/she shall also have the authority to make decisions for the club if he/she has not been previously instructed by the club to take any action. 7) The Officers of the Club shall constitute the Board of Directors and shall have the power and responsibility to manage the day-to-day business of the Club.
ARTICLE V: MEETINGS Membership meetings shall be held monthly, at a time and place determined by the membership.
ARTICLE V1: ELECTIONS AND VOTING 1) Nominations for Officers shall be put forward at the April meeting each year. Elections shall be held at the regular May meeting. A simple majority of the votes cast shall be required to win an election. The Board of Directors may make appropriate rules to deal with situations where a candidate does not gain a majority on the first vote. Members must be present to vote on any matter. 2) Officers-elect will take possession of their offices at the conclusion of the meeting at which they are elected.
ARTICLE VII: AMENDMENTS TO BY-LAWS These By-Laws may be amended by a three-fourths majority of the votes cast. The membership shall be notified at least two weeks prior to taking the vote. Amendments may be proposed by the Board of Directors or by petition signed by at least three members or by ten percent of the membership, whichever is the greater. Amendments proposed by the Board of Directors may be voted on at any meeting; amendments proposed by members petition shall be voted on at the annual By-Laws meeting in June.
ARTICLE VIII: PARLIAMENTARY AUTHORITY Parliamentary authority will be Roberts Rules of Order, current edition.
